Registered Office & Statutory Register Maintenance
Helping overseas businesses meet UK legal requirements with confidence
When you establish a UK subsidiary, there are important legal and administrative obligations you need to meet—some of which may be unfamiliar if you’re based outside the UK. One of the key areas is what’s known in the UK as “company secretarial” compliance—the behind-the-scenes but legally essential recordkeeping, filings, and formalities required under UK company law.
At Türner & Co, we make this easy for you by handling these compliance tasks on your behalf, so your business stays legally compliant without the administrative burden.
What is a Registered Office Address?
Every company registered in the UK must have a registered office address. This is the official address where government bodies like Companies House and HM Revenue & Customs (HMRC) send statutory letters and legal notices.
Your registered office:
- Must be in the UK, in the country of incorporation (England & Wales, Scotland, or Northern Ireland)
- Must be a physical location (not a PO Box)
- Can be different from your company’s trading or operational address
Why Use Your Accountant’s Address as Your Registered Office?
Many of our international clients choose to use our address as their company’s registered office. Here’s why:
- Peace of mind: Government correspondence is received by us directly—so there’s no risk of your UK staff missing critical deadlines.
- Privacy: Your company’s registered office is shown on the public Companies House website. Using our address protects the privacy of your directors and avoids publicising overseas home addresses.
- Professional oversight: We monitor incoming post, filter out junk, and ensure you are alerted only when necessary. We can handle routine correspondence from Companies House and HMRC efficiently on your behalf.
What are Statutory Registers?
Under UK law, all companies must maintain a set of official records, known as statutory registers. These include:
- Register of Members – a legal record of who owns the company
- Register of Directors and Secretaries
- Register of Directors’ Residential Addresses (not public)
- Register of Persons with Significant Control (PSC) – a record of who ultimately owns or controls the company
- Register of Charges (for older filings)
These records are not the same as the information filed at Companies House. The registers are your company’s definitive internal legal records.
Failure to maintain statutory registers is a breach of company law and can cause serious problems—for example, during due diligence for a sale, share transfers, or bank financing. We often help clients reconstruct missing or inaccurate registers, sometimes saving transactions from falling through.
Common Mistakes We Help Clients Fix
- Overseas directors’ home addresses incorrectly shown on public records
- PSCs (people with significant control) misidentified or missing
- Share transfers not properly documented internally
- Legal registers never created after company formation
We’ll work with you to get your records in order, ensure you meet legal requirements, and keep things running smoothly going forward.

FAQs
Companies House is the UK’s public register of companies. All limited companies and LLPs must submit certain documents to Companies House—such as changes in directors or shareholdings, confirmation statements, and annual accounts. Information filed here is public.
No. The registered office is your official legal address, not necessarily where your business operates. Many international companies use their accountant’s address (like ours) to receive and handle official mail efficiently.
Yes. Filing documents with Companies House does not replace the requirement to maintain your own statutory registers. These internal records are the company’s legal proof of ownership and structure.
A Person with Significant Control (PSC) is someone who owns or controls more than 25% of the company, or otherwise exercises significant influence. UK companies must identify and record PSCs accurately. Mistakes here can result in penalties and compliance issues.
Yes. We regularly help clients reconstruct statutory registers, even if they’ve been missing for years. It’s important to fix this before a transaction or tax filing exposes the issue.
Absolutely. We provide this service to many overseas groups with UK subsidiaries. We ensure that statutory mail is dealt with promptly and professionally.
